Terms of Service

Effective date: June 12, 2026

The short version: your code stays yours, our service stays ours. The product is in early access, AI output needs human judgment before you rely on it, and you should only connect repositories you're authorized to connect.

1Agreement to these terms

These Terms of Service (the "Terms") are a binding agreement between y5s ("y5s", "we", "us") and the individual or organization using our services ("you"). By creating an account, joining the waitlist, connecting a repository, or otherwise using the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to the organization.

2The Service

y5s is an AI-powered codebase knowledge platform. It indexes source repositories and business requirements into a knowledge base and provides features including natural-language Q&A with source citations, diagram generation, prompt generation, business-aware merge-request review, team memory, a knowledge graph, analytics, a VS Code extension, and an MCP server (together, the “Service”).

The Service processes repository content ephemerally: repositories are cloned into temporary workspaces for indexing and destroyed when indexing completes. Persistent storage is limited to embeddings, metadata, and content you create in the Service, as described in our Privacy Policy.

3Early access

The Service is currently offered in early access. It may contain defects, may change materially, and may be suspended or discontinued in whole or in part at any time. Features described on our website may be modified or withdrawn before general availability.

During early access the Service is provided free of charge unless otherwise agreed in writing. We will give reasonable advance notice before introducing fees for features you actively use.

4Accounts and access

  • You must provide accurate registration information and keep it up to date;
  • You are responsible for all activity under your account and for safeguarding your credentials;
  • Organization administrators control membership, roles, and data in their organization's workspace;
  • You must be at least 16 years old and legally capable of entering into this agreement.

5Your content and repository access

You retain all right, title, and interest in and to your repositories, business requirements, knowledge documents, queries, and any other content you submit to the Service (“Customer Content”). Nothing in these Terms transfers ownership of Customer Content to us.

You grant us a limited, non-exclusive, worldwide license to access and process Customer Content solely to provide, secure, and support the Service. This license ends when the relevant content is deleted from the Service, except for ephemeral repository processing, which by design retains nothing.

You represent that you are authorized to connect each repository and to submit each piece of content you provide — including authorization from your employer or customer where applicable — and that doing so does not violate any law or third-party right.

We will not use Customer Content to train machine-learning models, and we will not disclose it except as described in these Terms and our Privacy Policy.

6AI-generated output

The Service uses large language models. Answers, diagrams, prompts, review findings, and other generated output (“Output”) are produced automatically and may be incomplete, inaccurate, or misleading despite citing sources.

Output is provided for informational purposes only. It is not professional advice, and it is not a substitute for human code review, security review, or compliance review. You are responsible for evaluating Output before relying on it or merging changes based on it.

As between you and us, and to the extent permitted by law, you own the Output generated from your Customer Content.

7Acceptable use

You agree not to:

  • Connect repositories or submit content you are not authorized to use;
  • Use the Service to develop a competing product, or scrape, crawl, or harvest data from it;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law;
  • Circumvent usage limits, authentication, or tenant isolation, or probe or test the vulnerability of the Service without our written consent;
  • Use the Service to violate any law or third-party right, or to transmit malware or unlawful content;
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted.

We may suspend or terminate access that we reasonably believe violates this section, with notice where practicable.

8Third-party services

The Service interoperates with third-party services such as GitLab, GitHub, Bitbucket, identity providers, and AI model providers. Your use of those services is governed by their own terms, and we are not responsible for them. If a third-party integration becomes unavailable or changes, we may modify or discontinue the related feature.

9Our intellectual property

The Service, including its software, design, and documentation, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. No other rights are granted.

If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

10Confidentiality

Each party may receive non-public information of the other in connection with the Service. The receiving party will use such information only as needed to perform under these Terms, protect it with at least reasonable care, and not disclose it to third parties except to employees, advisors, and subprocessors bound by confidentiality obligations, or as required by law.

11Termination

You may stop using the Service and delete your account or organization at any time. We may suspend or terminate the Service or your access for material breach of these Terms that remains uncured after notice, for legal compliance, or upon discontinuation of the Service with reasonable notice.

Upon termination, your right to use the Service ends and we will delete Customer Content in accordance with our Privacy Policy. Sections that by their nature should survive (including ownership, confidentiality, disclaimers, limitation of liability, and governing law) survive termination.

12Disclaimer of warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR COMPLETE.

13Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS (USD 100) IF YOU HAVE PAID NOTHING.

Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be limited under applicable law.

14Indemnification

You will defend and indemnify us against third-party claims arising from Customer Content you submit without authorization, or from your use of the Service in violation of these Terms or applicable law, provided we promptly notify you of the claim and reasonably cooperate at your expense.

15Changes to these terms

We may update these Terms from time to time. For material changes we will give at least 14 days' notice by email or through the Service. Continued use of the Service after the changes take effect constitutes acceptance. If you do not agree, you must stop using the Service before the effective date.

16Governing law and disputes

These Terms are governed by the laws of Mongolia, without regard to conflict-of-laws rules. The courts located in Mongolia will have exclusive jurisdiction over disputes arising out of these Terms, and each party consents to their jurisdiction. Before filing a claim, the parties will attempt in good faith to resolve any dispute informally within 30 days of written notice.

17Miscellaneous

These Terms, together with the Privacy Policy and any order form, are the entire agreement between the parties regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Notices to us must be sent to the contact address below.
